SPIIN SWEEPSTAKES OFFICIAL RULES
INTRODUCTION These official rules ("Official Rules") govern the Spiin Sweepstakes (the "Sweepstakes") offered by Spiin Labs Inc. ("Spiin," "Sponsor," "we," or "us"). By participating in the Sweepstakes, each participant ("Participant," "user," or "you") agrees to be bound by these Official Rules and the decisions of the Sponsor, which shall be final and binding in all matters relating to the Sweepstakes. These Official Rules constitute a legally binding agreement between you and Sponsor with respect to the Sweepstakes.
ELIGIBILITY The Sweepstakes is open only to legal residents of the United States (excluding Idaho, Louisiana, Michigan, Montana, Nevada, Florida, New York, Rhode Island, and where otherwise prohibited by law) who are at least eighteen (18) years of age or the minimum age required by the laws of the state in which they are physically present at the time of participation, whichever is greater. Employees, officers, directors, members, managers, agents, and representatives of Spiin, its parent, subsidiary, and affiliated companies, advertising, promotion, or production agencies, web masters/suppliers, and any companies who are promotional participants or prize providers, and their immediate family members (spouse, parents, siblings, and children) and/or those living in the same household of each such employee, officer, director, member, manager, agent, or representative (whether legally related or not) are not eligible to enter or win. All federal, state, and local laws and regulations apply. Void where prohibited or restricted by law.
IT IS THE YOUR SOLE RESPONSIBILITY TO DETERMINE IF YOUR PARTICIPATION IS OR ACCESS TO THE SWEEPSTAKES IS PERMITTED BY APPLICABLE LAW. SPIIN IS NOT AND SHALL NOT BE HELD LIABLE FOR YOUR PARTICIPATION IN VIOLATION OF ANY APPLICABLE LAW, AND YOU SHALL INDEMNIFY AND DEFEND SPIIN AGAINST ANY CLAIM OR PROCEEDING RELATED TO OR RESULTING FROM YOUR PARTICIPATION IN VIOLATION OF THE LAWS OF YOUR JURISDICTION.
SWEEPSTAKES FORMATS
Spiin Website Sweepstakes Participants may access the Spiin website at spiin.gg and select up to three items of varying value. Participants can then place a "bet" using their digital token currency ("Spiin Balance") to increase or decrease their odds of winning. Participants will then spin a digital wheel and receive the results of whether they have won or lost the value of their Spiin Balance. The Spiin Website Sweepstakes is subject to all terms and conditions set forth in these Official Rules.
Third-Party Checkout Sweepstakes Participants may choose "Spiin" as a payment option during the checkout process on a third-party website. Participants can then place a "bet" using their Spiin Balance to increase or decrease their odds of winning. Participants will then spin a digital wheel and receive the results of whether they have won the item or lost the value of their Spiin Balance. The Third-Party Checkout Sweepstakes is subject to all terms and conditions set forth in these Official Rules.
OBTAINING SPIIN BALANCE
Purchase of Spiin Balance Participants may purchase Spiin Balance to use in the Sweepstakes. The purchase of Spiin Balance does not enhance a Participant's chances of winning compared to the free method of entry. Spiin Balance has no cash value outside of the Sweepstakes and cannot be redeemed for cash except as expressly provided in these Official Rules.
Free Methods of Entry Participants may obtain Spiin Balance at no cost by participating in any of the free methods of entry described in the Free AMOE Verbiage document, which is incorporated herein by reference. Free methods of entry may include, but are not limited to:
Mail-In Request: To receive free Spiin Balance without making a purchase, on a number on a plain 3" x 5" card, handwrite:
your full name as it appears on your government-issued identification,
complete address of residence,
email address,
telephone number,
an AMOE code, which can be requested as described in Section 4(C), below,
the following statement:
“Sweepstakes Entry! I wish to receive Spiin Balance Credit to participate in the Running Sweepstakes Contest offered by Spiin. By submitting this request, I hereby declare that I have read, understood and agree to be bound by Spiin Terms of Use and these Official Rules”
and signature and the date of signing.
You must place the card in an envelope, and mail it with proper postage to: Spiin Free Entry, 68 SE 6th St. Miami, FL 33131. Limit one (1) request per outer stamped envelope. For each such envelope received, the account associated with the email address provided shall receive a .35 Spiin Balance credit. No mechanically reproduced entries or metered mail accepted. Mail-in entries must contain all entry fields, or they will be deemed invalid. Not responsible for lost, late, incomplete, invalid, unintelligible, illegible, misdirected or postage-due entries, which will be disqualified. Validity of the entry is at the sole and absolute discretion of Spiin.
Social Media Participation: The Sponsor reserves the right to hold Spiin Balance credit no-cost giveaway contests which users can enter by following instructions that will be provided on the Spiin social media pages, such as but not limited to X, Instagram, and TikTok. These giveaways may require sharing posts or answering various game related questions to be eligible for entry. The amount of Spiin Balance credit given away will be stated on the applicable no-cost contest post, and will be credited to each contest winner’s account at the conclusion of the giveaway. These giveaways may be subject to additional restrictions and rules as referenced in the giveaway materials at the time of the contest, as well as in the Official Rules in effect at the time.
AMOE Code An AMOE Code is a unique combination of 24 digits that participants can obtain by following the steps outlined in these Official Rules. A AMOE Code is unique, can only be used once and expires 30 days after it is displayed. The purpose of a AMOE Code is to assist with the efficient and effective processing of a participant’s Request Card. Request Cards containing an expired AMOE Code at the time of processing will be void. A AMOE CODE CAN ONLY BE USED BY THE PARTICIPANT WHOSE CUSTOMER ACCOUNT WAS USED TO GENERATE THAT AMOE CODE. Any participant suspected by Sponsor to have directly or indirectly provided a AMOE Code to another person may, in the sole discretion of Sponsor, be disqualified and lose their eligibility to participate in the Sweepstakes. A AMOE Code can be obtained by following the following steps:
sign into your User Account on the core platform (spiin.gg) or via the checkout tool at any retailer;
Navigate to Settings and click “AMOE code.”
The AMOE Code is then displayed for a period of time to enable a Participant to record it on their Request Card.
ODDS OF WINNING The odds of winning in the Sweepstakes are defined by the Participant. Participants can select their desired probability of winning or enter a "bet" amount, and the Sweepstakes will calculate the corresponding probability using the following formula:
For each item on the digital wheel, a weight is calculated as 1 divided by the item's value. The total weight is the sum of all item weights. The expected value (EV) is calculated as the "bet" amount multiplied by (1 - the house edge of 8.5%). For each item, the weighted value is its weight divided by the total weight, multiplied by its item value. The total probability is then calculated as EV divided by the sum of all item weighted values.
Participants have the ability to adjust their probability of winning by increasing or decreasing their "bet" amount. The minimum and maximum "bet" amounts may vary based on the items selected and are displayed to the Participant prior to participation.
PRIZES AND REDEMPTION
Prize Options Upon winning, Participants may either:
Convert the value of the selected items to a balance credit of Spiin Balance, which will be automatically credited to the Participant's Spiin account; or
Redeem the physical item immediately, subject to availability and the redemption procedures set forth below.
Prize Redemption To redeem a physical prize, Participants must follow the redemption instructions provided at the time of winning. Participants may be required to provide additional information, such as shipping address, contact information, and any other information necessary to fulfill the prize. All prizes will be fulfilled within 4-6 weeks of the completion of the verification process, unless otherwise specified. Prizes shall be forfeit if the address entered for prize redemption does not match the address of record of the account holder or would otherwise make the Participant’s participation illegal or invalid.
Prize Restrictions
All prizes are awarded "as is" with no warranty or guarantee, either express or implied.
Prizes are non-transferable, non-exchangeable, and non-refundable, and no substitution will be made except as provided herein at the Sponsor's sole discretion.
Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason.
Participants are responsible for paying all taxes on any winnings and any shipping costs associated with any prizes.
Participants may be required to complete an affidavit of eligibility, liability release, and publicity release (where permitted by law) as a condition of receiving a prize.
TAXES AND EXPENSES All federal, state, and local taxes, and all similar fees and assessments, are the responsibility of the prize winner. Sponsor reserves the right to withhold taxes from the prize as required by law. Winners receiving prizes valued at $600 or more will be issued an IRS Form 1099 for the value of the prize. Winners are solely responsible for reporting and paying any and all applicable taxes related to prizes and paying any expenses associated with any prize that are not specifically provided for in these Official Rules.
LIMITATION OF LIABILITY By participating in the Sweepstakes, Participants agree to release, discharge, indemnify, and hold harmless Sponsor, its parent, subsidiaries, affiliates, retailers, and advertising and promotion agencies, and all of their respective officers, directors, shareholders, employees, agents and representatives (collectively, the "Released Parties") from any and all liability, claims, losses, damages, causes of action, suits, and demands of any kind arising out of or in connection with the Sweepstakes, including without limitation:
Any technical errors, malfunctions, or difficulties that may occur, regardless of the cause;
Unauthorized human intervention in any part of the entry process or the Sweepstakes;
Technical or human error which may occur in the administration of the Sweepstakes or the processing of entries;
Any injury, damage, or loss (including death) to persons or property of any kind, which may be caused, directly or indirectly, in whole or in part, from Participant's participation in the Sweepstakes or receipt, use, or misuse of any prize;
Any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property-related cause of action;
Any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Participant's participation in the Sweepstakes;
Any travel or activity related to the receipt or use of any prize.
IN NO EVENT WILL THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF PARTICIPANT'S ACCESS TO AND USE OF THE SWEEPSTAKES OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM ANY WEBSITES ASSOCIATED WITH THE SWEEPSTAKES. WITHOUT LIMITING THE FOREGOING, THE SWEEPSTAKES AND ALL PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.
DIGITAL TOKEN CURRENCY SPECIFIC PROVISIONS
Nature of Spiin Balance Spiin Balance is a digital token currency that has no cash value outside of the Sweepstakes and cannot be redeemed for cash, and cannot be redeemed or exchanged except as expressly provided in these Official Rules. Spiin Balance is not a security, commodity, or any other kind of financial instrument and should not be viewed as such. Spiin Balance exists solely within the Spiin platform and has no value, use, purpose, attributes, functionalities, or features, express or implied, outside of the Spiin platform.
Restrictions on Transfer Spiin Balance may not be sold, transferred, or exchanged between users. Any attempt to sell, transfer, or exchange Spiin Balance will result in the forfeiture of the Spiin Balance involved in such transaction.
Account Security Participants are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. Participants agree to notify Sponsor immediately of any unauthorized use of their account or any other breach of security. Sponsor will not be liable for any loss that Participants may incur as a result of someone else using their account, either with or without their knowledge.
Expiration and Termination Spiin Balance may expire if a Participant's account is inactive for a period of twelve (12) consecutive months. Sponsor reserves the right to terminate a Participant's Spiin Balance if Sponsor determines, in its sole discretion, that the Participant has violated these Official Rules or has engaged in conduct that Sponsor deems to be improper, unfair, or otherwise adverse to the operation of the Sweepstakes.
GENERAL TERMS
Winner's List A publicly available list of winners will be posted on the Spiin website at spiin.gg/winners. Alternatively, for a winner's list, send a self-addressed, stamped envelope to: Spiin Sweepstakes Winners, 68 SE 6th St. Miami, FL 33131. The winner’s list is updated on a rolling basis and winners from the preceding 12 consecutive months will be made available upon request.
Start and End Date For the purposes of these rules, the Sweepstakes shall start upon the posting date of these Official Rules and shall continue on a monthly rolling basis unless and until an end date is announced by Spiin, which shall in no event be less than 60 days from the announcement of the end date.

Governing Law and Jurisdiction These Official Rules shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any choice of law or conflict of law rules. Any legal suit, action, or proceeding arising out of or related to these Official Rules or the Sweepstakes shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida, in each case located in Miami-Dade County, and each Participant irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.
Arbitration Except where prohibited by law, as a condition of participating in this Sweepstakes, Participant agrees that:
Any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the Participant;
The Federal Arbitration Act shall govern the interpretation, enforcement, and all proceedings at such arbitration;
Judgment upon such arbitration award may be entered in any court having jurisdiction.
Under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim, punitive, incidental, or consequential damages, or any other damages, including attorneys' fees, other than Participant's actual out-of-pocket expenses (i.e., costs associated with participating in this Sweepstakes), and Participant further waives all rights to have damages multiplied or increased.
Privacy Policy Information collected from Participants is subject to Sponsor's Privacy Policy, which is available at spiin.gg/privacy. By participating in the Sweepstakes, Participants agree to Sponsor's collection and usage of their personal information and acknowledge that they have read and accepted Sponsor's Privacy Policy.
Modification and Termination Sponsor reserves the right to modify, suspend, or terminate the Sweepstakes at any time, with or without notice, for any reason in its sole discretion, including but not limited to any suspected fraud, technical failure, or other factor beyond Sponsor's reasonable control that disrupts or impairs the administration, security, fairness, or proper play of the Sweepstakes. In such event, Sponsor reserves the right to award the prizes in a manner deemed fair and equitable by Sponsor. Sponsor also reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner.
Severability If any provision of these Official Rules is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Official Rules, which will otherwise remain in full force and effect.
Force Majeure Sponsor shall not be liable for any failure to comply with its obligations where such failure is caused by an event beyond its reasonable control, including, but not limited to, acts of God, fire, flood, earthquake, explosion, civil commotion, strikes, terrorist attack, epidemic, pandemic, or any law or government regulation.
SPONSOR The Sweepstakes is sponsored by Spiin Labs Inc. 68 SE 6th St. Miami, FL 33131. Any questions, comments, or complaints regarding the Sweepstakes must be directed to the Sponsor. BY PARTICIPATING IN THE SPIIN SWEEPSTAKES, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF THE SPONSOR, WHICH SHALL BE FINAL AND BINDING IN ALL MATTERS RELATING TO THE SWEEPSTAKES.
